50 million $AMC FTDs?
❌ No, there were more:
About 66 million (on August 24th) 💡
I'm still surprised that almost no one else sees it, because everyone keeps talking about the 50 million FTDs.
On August 24th there were 6.6 million FTDs at $AMC (new). This corresponds to 66 million FTDs for #AMC (old).
But you have to check the raw SEC data and not Chartexchange, fintel or similar.
The numbers and sources here 👇
$AMC Failure to Deliver #FTDs
I saw something on Reddit and thought I'd check it out.
The #FTD data needs a closer look:
Apparently there were FTDs for "AMC old" and "AMC new" on the 24th and 25th (yellow + green).
In addition, there were APE FTDs until the 28th (blue).
This is understandable given T+2, but you might want to look at it and think about it.
Here is the raw data:

Wüsste gerade gar nicht welchen "heißen Scheiß" er bei den Falschinformationen meint.
Wünschenswert wäre erstmal wenn er sich zu seiner Info in Bezug auf 5,66$ und der Automatic Conversion zu Wort meldet.

I encourage you all to read our press release and listen to our quarterly comments, as tomorrow afternoon AMC Entertainment announces our 4th quarter results.
Candidly, there is a stunning amount of false information and opinion grounded neither in fact nor reality about AMC floating around X/Twitter.
The law limits what, when and how I can talk about AMC, but I will have a lot to say about AMC tomorrow.

Goldman Sachs' #AMC position as of 12/31/24
According to the recently filed Schedule 13G (dated 02/12/25), Goldman Sachs reported holding 24,420,283 $AMC shares as of the effective date 12/31/24.

Given the Forward Transaction disclosed in AMC’s 8-K on 01/16/25, it is highly likely that this position is related to that transaction, as Goldman Sachs acted as the forward counterparty and handled the shares for sale.

While this aligns with expectations, one detail raises questions:
The CUSIP listed (9EQ83WTR3) does not match AMC’s official Class A Common Stock CUSIP (00165C302).
This could be a simple reporting error, but I was unable to find any information on this CUSIP.
Any ideas? 💡
In 2008, the @SECGov forced institutions to report short sales within DAYS.
🚨 Now, they get plenty of time AND a whole YEAR of delay.
The rule has been known since October 2023, yet institutions suddenly needed “more time” after a technical update in December 2024.
You want us to believe they can buy and sell millions of shares in milliseconds, hedge with swaps and options in real-time—but somehow, reporting how many of those were shorted is that hard? 😆
It’s not about ability, it’s about willingness.

"Automatic Conversion"
Beneath is the exact snippet from @CEOAdam and the statement that at $5.66 there would be an automatic conversion of the debt.
Adam Aron certainly knows better here than any of us.
However, in my opinion, there is no indication of this in the filings and exhibits.
The filings only mention $5.66 because that is the initial conversion price that determines how many shares a holder will receive per $1,000 principal amount of notes (approximately 176.64 shares).
From my personal perspective, the stock price $5.66 is more or less irrelevant. As I understand it, the exchangeable notes can be exchanged above that price and below that share price.
There is also an alternative:
In principle, AMC / MUVICO could satisfy the exchange request with cash instead of shares.
In the current situation, this seems unlikely, but it will become more likely with positive business figures and a larger cash cushion.
Perhaps @CEOAdam can clarify his statement about automatic conversion.

An addition:
Here we see the updated representation of the BoD of #AMC and their terms:
Some are complaining about the fact that there is now an additional member on the BoD. So, we take a look at the #AMC Bylaws and read the following:
Thus, the decision is entirely legitimate and may also serve to achieve an equal number of directors within the classes. Admittedly, the number could have been reduced as well.
Looking at the points of criticism that have been raised, most of them simply concern the expansion of management and the additional compensation required as a result. Many probably assume that such a role brings in millions. However, in the most recent DEF 14A filing, we find more detailed information on this (even if it’s somewhat retrospective in parts). This gives us a better reference point. Additionally, it’s important to note that the compensation consists of two components: a monetary one and stock-based compensation.
Based on examples, it looks like this:
Depending on the role and participation in committees, the amounts vary slightly. For instance, Marcus Clover will serve on the Audit Committee and will receive the $17,500 bonus for this.
A Director carries responsibility and a certain level of personal risk.
(And I’m not even referring to the personal threats to life and safety made by some disturbed individuals against the management.)
Conclusion:
From my personal perspective, it’s way too early to take a firm stance on such personnel decisions, and sometimes opportunities need to be seized when they arise.
In the end, I’m pleased with this new addition to the BoD, as well as with the recent directors who have joined. I no longer believe that all directors at AMC are the right fit, but that’s my personal view, and every year at the AGM, I have the opportunity to cast my votes on this. I do, and I’m happy to see others exercising their right to vote as well.
What we shouldn’t forget: We all know that @CEOAdam has plans to retire. It’s important that the Board is properly set up, so someone from this group could potentially step up as CEO. Perhaps what we’re seeing now are the medium- or long-term preparations for that.
