Everyone seems to be outraged over this clip from New Haven of a police officer deliberately blocking the path of an ATV, causing him to swerve and crash. The rider was hospitalized. The video is making the rounds without proper context. Those upset at the officer's actions don't don't actually know much about this area of New Haven. This road is closed off to motorized vehicles and is intended for hikers and cyclists. As can be seen at the start of the video, cyclists and joggers are using the path. Had the police officer not gotten in the way of the ATV, there may have been a serious accident involving the pedestrians. The officer's actions saved lives. The area is frequently full of parents pushing their strollers, the elderly, people walking their dogs, and so on who aren't paying attention to traffic.

It is amazing what the unemployment rate will falsely portray when you intentionally remove 5 million people from the calculations. They are not unemployed. They are "uncounted". Just another statistical trick for how our economic data is fake.
Anther way to visualize all the people missing from the labor market:

REPORT: Chinese gangs known as "Snakeheads" are working with Mexican cartels to smuggle illegals into the United States. Biden's America. According to the Daily Mail, Chinese people are flying from China to Mexico and other central American cities and then meeting up with smugglers to lead them into the United States. Former intel officer Todd Bensman says the Chinese migrants are very well coached by the Snakeheads and know exactly what to say to US officials. "They're so well coached and, we would get the same story from all of them, and not one variation," Bensman said. The Chinese have changed their tactics in Mexico. Previously, they specialized in drugs and money laundering. Now they specialize in human trafficking thanks to Biden. "The Chinese just can't go over there and cut the Mexican cartels out. That just doesn't happen. They've got to be paying the Mexican cartel some kind of a percentage, quota or tax," said cartel expert Robert Almonte. Video: @VenturaReport

"No farmers, no food, no future!" - Dutch MEP, Rob Roos, exposes the globalist war on farmers, in the EU parliament. "The ruling class wants our farmers to disappear, one regulation at a time... All in the name of the climate, of course." "Stop forcing people to live differently, and stop making it impossible for farmers to do their jobs. We absolutely need our farmers. Food security is also a matter of national security." We see mass farmers' protests in a growing number of countries. The #EU is responsible. The establishment is trying to make our farmers disappear - one regulation at a time. 📣 Today, I call on the European Parliament: stop making it impossible for #farmers to do their jobs!

M&A Monday: Chapter 1: What Kind of Buyer Am I? Now that I have started a newsletter, I am going to be more organized with my M&A Mondays. This may be basic for some people, but I want to start at the beginning of the acquisition process and work through to the end. If you are a buyer it is important to define yourself. How you define yourself will impact your support group, investors you attract, the conferences you attend, and deals you focus on. Using the right terminology shows others that you speak the language and acts to immediately focus the conversation. It is also an important way to introduce yourself to sellers and sellers’ brokers. Note that buyers grow through these stages. I have a client who started as an SFS 5 years ago, then moved to be an independent sponsor, and is now raising his first PE fund. Below is an explainer on the different types of business buyers and important differentiators. (A) Self-Funded Searcher; (B) Search Fund; (C) Independent Sponsor; (D) Private Equity Fund; and (E) Strategic Buyer. (A) Self-Funded Searcher (SFS). SFS is a buyer planning to acquire and run a business. A self-funded searcher is different from a search fund in that they do not take investment prior to closing the acquisition. Target EBITDA: The SFS usually acquires a business making less than $2M EBITDA (between $500k and $7m enterprise value). Financing: SFS usually finances their acquisition with personally guaranteed SBA 7(a) debt. The 7(a) loan program will fund an acquisition up to $5M (or more if the bank provides a matching amount (pari passu)). The SFS will usually have to put a downpayment of around 10% (I will do a post on the 7(a) loan in a future chapter). The rest of the equity usually comes from investors or is funded by the SFS’ own savings or IRA. The type of investors at this stage are usually friends, family, investors, or (in recent years) small institutions. The investors receive preferred equity. Ownership: The majority of post-closing ownership is owned by SFS. If SFS brings investors, the ownership will be less than all, but is still usually majority (see POST on structuring a deal with investors: teapawt.net/Eli_Albrecht/status/16…. Management: SFS usually acquires a business that they plan to run as the CEO, at least for a period of time. (B) Search Fund (SF). SF is like SFS, but they raise equity from investors (Search Capital). This is usually designed to bankroll the search process and then those same investors have a right to invest in the acquisition target (Acquisition Capital). Target EBITDA: The SF usually acquires a business making more than $2M EBTIDA – often much more. Financing: Since these targets tend to be larger and the ownership structure does not work for a 7(a) loan (investors above 20% have to personally guarantee), more traditional debt is used. This means a larger downpayment, which is raised from the initial investors. Ownership: SF ownership traditionally gives common equity to the SF. This traditionally is between 20%-30% and vests in 3 tranches: upon acquisition, over certain periods, upon achievement of certain IRR/MOIC thresholds. As more SF investors enter the market and more SF opt for self-funded search, I am seeing SF get better terms than traditional terms. Management: While a SFS controls the search process and management of the business, a SF has less control. They are the CEO after closing, but the investors usually have rights (in certain circumstances) to replace the CEO. One SF investor told me, “don’t worry, we almost never replace the CEO.” This did not make me less worried. (C) Independent Sponsor (IS). IS, also called fund-less sponsor is very much like a SFS. Their hallmark is flexibility and collaboration. They often partner with other sponsors and have hyper-flexible structures. Target EBITDA: $2M + I have seen IS take down targets between $2M EBITDA and $10M EBITDA. Financing: The IS debt and equity financing partners are almost always institutional investors and lenders. The debt is non-recourse (not personally guaranteed). Ownership: Ownership varies widely based on the structure and financing. Sometimes, a private equity-style waterfall is used where the IS sponsor gets no equity, only promote and carry. Other times, IS sponsors keep a majority of the equity. Some equity is usually set aside for a management pool. The IS is usually in control of the search and the target after closing, subject to rights of the investors. Management: IS almost always has a professional management team in the business. Sometimes this is the existing management other times they are put in place by the IS. The IS receives a management fee. (D) Private Equity Fund (PE). A PE fund is similar to an IS, but they are backed by a fund. PE uses institutional debt take out by the acquisition target (Leveraged Buy-Out) to fund the acquisition. They equity portion comes from the fund. They tend to be fee-heavy and have more traditional models. (E) Strategic Buyer. Strategic Buyers are buyers that already have a business and are acquiring another target to complement their business. Finding the right label is a personal decision that weighs the costs and benefits of each approach.
M&A Monday: Buying a Business with $0: Structuring an Acquisition with Investors Last week I posted about the generational opportunity to buy small businesses owned by the Baby Boomer generation. 2.3 million businesses are owned by Baby Boomers and over 60% have no succession plan. These businesses will change hands over the next 15 years. Today's M&A Monday is about how to structure a deal with investors in a self-funded searcher-style deal. Self-funded searchers are individuals buying a business using SBA 7(a) loans for less than $2m EBITDA/$10m sale price. This structure will look very different for independent sponsors, search funds, and private equity (I’ll discuss those models in a later post). A client called me after my last M&A Monday and said, I would love to buy a business, but do not have the savings to put down 10%-20% for the business. The answer is to raise investor capital for the acquisition. Most acquisitions are structured with a combination debt and equity. In the self-funded market, the debt is usually provided by an SBA 7(a) loan (up to $5m), which usually covers 80% +/-. The rest is cash the buyer brings, but that portion can also be provided by investors. Investors are usually offered a portion of preferred equity and a step-up on their basis. Preferred equity is paid back first (both the initial capital plus a percent return). The step-up increases the investor's percent ownership to account for the business being worth more post-closing. Let’s take an oversimplified $5m acquisition example. With fees and working capital (if not included in the purchase), we have a total enterprise value of $5.5m. The SBA loan will lend 70% ($3.85m) and a Seller Note will be 10% ($5.5m). The investors will put in 20% of the enterprise value ($1.1m). Now assume investors are being offered 9% preferred return (accruing each year) with a 1.5x step-up (this is negotiable and sometimes searchers do higher preferred and lower step-up, etc.). The investors will own 30% of the post-closing business and the Searcher will own 70%. Finally, in a sale scenario. Let’s say you grow EBITDA by 6% per year. In year 5 EBITDA is $2.408m. Now that EBITDA is over $2m the multiple may be higher, let’s say 5x. The sale price will be $12,044,030. After paying off debt of approximately $2m and paying back investor's initial investment + preferred return of $1.595m, there is $8.449m available for distribution. This gets distributed per ownership percentage (or "pari passu"). 30% goes to investors ($2,534,709 for a total return of, $4,129,709) and 70% to the Searcher ($5,914,321). Of course, these are rough estimates for demonstration and each variable will vary. This is a very high-level explanation of how we structure a Searcher acquisition with investors in the sub-$2m EBITDA market.
