BLAQclouds is moving forward with the acquisition of the controlling block of $NXGB.
✅ All transaction documents have been executed
✅ Initial payment for the control block has been made
✅ Closing is expected by the end of this week
Following closing, our focus is straightforward: clean up the company and position it for its next chapter.
Our current objectives include:
🔹 Addressing and settling outstanding debt reflected on the company’s books
🔹 Significantly cleaning up the capital structure
🔹 Pursuing the retirement of approximately 2 BILLION previously issued shares, subject to applicable agreements, corporate approvals, and legal requirements
🔹 Reviewing the more recently issued restricted shares and pursuing their retirement where appropriate

I went through the newly filed Q2 disclosure, and IMO it explains why the recently announced up-to-$50M financing / $5M senior-debt retirement could be one of the most important developments in the $UMAV story.
But shareholders need to understand BOTH sides of this.

As of June 30:
Revenue: $0
Cash: ~$11K
Assets: ~$920K
Liabilities: ~$10.0M
Stockholders' deficit: ~$9.1M
And the company explicitly carries a going-concern warning.
So $UMAV remains dependent on outside financing.
That's precisely why execution of the new financing matters so much.

The Q2 filing doesn't suddenly make $UMAV financially healthy.
What it does is show us exactly what needs to be fixed.
Legacy convertible debt created billions of shares of dilution.
Now management says an up-to-$50M financing includes $5M for senior-debt retirement.
If that capital closes on shareholder-friendly terms AND eliminates the toxic-convertible overhang, the capital structure could look materially different.
