Used to do a lot with SPACs. Now back to doing a lot with SPACs. I also post things to make myself chuckle. If you are amused, it is a nice bonus.

Just one for the radar; full disclosure, my track record investing in pure rights is poor. That said, if $KFII converts LOI to a DA with David's Bridal to bring Pearl public, and if financials aren't a complete fiction - this thing looks pretty credible, and 11 cents for 1/15th right $KFIIR could be compelling. and yeah I own a slug, around 11 cents cost basis. Will continue to evaluate risk/reward; I may trade around the position a bit. The charter does need to be extended (vote coming up), but seems to be a credible team and credible proposed transaction - as SPACs go

$AMAN $300 million obligated to buy PIPE at redemption price (approx $10.16 now, likely a couple dimes higher by close). Little old SPACuity can buy now at $10.17 and can change mind at anytime. A pretty cheap way to play the possibility the PIPE buyers aren't total morons.

Interesting dynamic at play. $AMAN was my largest holding coming into today, and even bigger now. SPACs so out of favor that a $300 million common equity PIPE above $10 (this one is at redemption price) pins it at NAV. Similar to $TCGX reaction. May not work, but certainly might.

I'll continue to add here around NAV most likely assuming I find things to sell to fund it; though as such a big position I'll trim some if it can perk up even slightly. PIPE participants have ability to offset PIPE commitment by buying shares of $AMAN.

Very possibly stays pinned at NAV, but downside almost zero (especially with the aforementioned PIPE dynamic), and I could envision a scenario where shares eventually get sopped up and it moves higher. Only a $75 million trust.

I don't know if $TCGX merger target will succeed in treating migraines as they hope, but I can tell you that so far $TCGX is causing more headaches than they've prevented.

Note to SPAC sponsors; just because the market is willing to fund your SPAC IPO(s) doesn't mean you should do it. Please do us all a favor and not raise hundreds of new SPACs next cycle, assuming we get one. The world has enough TBill exposure. Hugs and Kisses, SPACuity

SPAC targets getting more savvy to dilution. Two main ways to tackle dilution. A) Come up with a nosebleed valuation so insane that it is a moot point (founder's shares and warrants crater upon merger). B) Have a SPAC structured appropriately up front. I try to own more of B.

I'd tweet about a SPAC, but I'm not sure if anyone would care. Frankly, I'm not sure that I care.

Even having been through these cycles before - I forget how bad SPACs can suck when they suck.

Credit cards? Come on now. $CCXI $AGLT has a much better way to raise funds to make more Digits
I had Grok analyze the $CCXI $AGLT investor presentation from this week. Do you realize that to fulfill their $300m in orders they will need to finance over $2B to build the robots, probably on credit cards?

Of SPACs trading 1% or more above NAV; 6 have a target. 15 do not. I'm not even sure what this tells us, but it is interesting. Personally, I'm very heavily weighted in SPACs above NAV that don't have a target. We'll see if that is wise or not.

So by my count, we've had 13 announced SPAC deals in the last month, and every single one is trading at a discount to NAV. We could use a slumpbuster soon, or SPACs will slumber back into a lack of relevance. Last deal announced that is above NAV is $NTWO

This is an excellent summary of one of my pet peeves; PIPEs that let the investor have their cake and eat it too. Substantial downside protection along with, usually, extra upside juice as well. Definitely worth looking at PIPE terms whenever a merger agreement is announced.
For retail, make sure to understand what type of PIPE is attached to a SPAC deal. It can have a significant impact on outcome. Convertible preferreds are linked below. spacinsider.substack.com/p/c…

Really interesting insights here from some knowledgeable SPAC players; 45 minute podcast. Thanks @spac_insider for making this kind of info available.
Podcast: The State of the SPAC Market, from the Floor of the NYSE For our first-ever video podcast episode, we headed to the floor of the @NYSE to speak with Allyson Satin, COO of the Ares SPACs, and Paul Wood, Co-Head of SPAC Investment Banking at BTIG. 2026 has already been a breakout year for SPAC issuance, and deals are moving through the pipeline faster than they have in years. We discuss what’s driving the rebound, why sponsor quality is rising to the top, and how SPACs are competing with a strong traditional IPO market. Plus, we look ahead to the fall and Q4 for any positive or negative catalysts that could affect the SPAC market. Give it a listen. spacinsider.com/news/intel/p…
