U.S. Court Decision to award SAF Ownership to John Textor is Final, No longer subject to Appeal
On October 22, 2026, the landmark US judgment of September 17 has now been declared Final, and the court expressly declared John Textor to be the owner of 90,000 Class B shares representing 90% of Botafogo SAF’s total and voting capital. The Florida court declared the November 2022 share purchase agreement between John Textor and Eagle Bidco to be ‘void ab initio’, ruling that the agreement was never completed because the consideration was not paid and could no longer be paid.
The judgment is final as to Eagle Bidco which, contrary to published reports, was represented by counsel in both the U.S. and the United Kingdom.
Attorneys for both SAF Botafogo and Eagle Bidco offered memos of judicial notice and protest in both Florida and England, however neither party provided direct evidence to counter Textor’s principal argument that the agreement, intended to have been made and formed in Florida, was never completed.
John Textor’s US counsel has executed a sworn affidavit confirming that Eagle Bidco’s deadline to appeal expired on October 19 and that no appeal was filed. The affidavit confirms that the judgment is final as to Eagle Bidco. Textor is pursuing the necessary measures to seek recognition of the judgment before Brazil’s Superior Court of Justice (STJ).
Further, Textor has again made demand on GDA Luma and Gabriel de Alba (both based in the US) to respect the authority and decision of the US court, and ‘cease and desist’ from any and all interference with the ownership interests of Mr. Textor and, more broadly, the ownership interests in SAF Botafogo.
John Textor and his expanded partnership of leading European football owners and executives look forward to reestablishing the global reputation of Botafogo once again as a shining example of the best of football in Brazil.

Did Canal do Mouth really just tell Botafoguenses not to believe published documents that serve to correct Social Club propaganda?…yet we should believe him, the puppet, with nothing but Anonymous sources across a 12-month smear campaign?
On today’s topic, the social club has been having a bad few weeks so they change the subject and tell you that we sent R$1.3 billion to Lyon…they know full well this is deception, because they don’t tell you about the math that runs the other way. The net balance of all of these wires, between two clubs that were helping each other to win, is only €12 million. This is a very small and manageable number in the context of a collaborative multi club.
It’s a huge number, when OL chooses not to repay, and also gave no notice of pulling out, after Botafogo supported OL‘s DNCG appeal…. but to lie about these numbers by reporting only the wires going in one direction, is par for the course for Canal do Mouth.
Know that he has also been extremely deceitful to suggest that published numbers of the SAF cannot be trusted simply because the auditor could not confirm the receivables balance from OL. Audit opinions cannot be issued without counterparty confirmations, and It’s no secret that Kang refuses to honor her debts to Botafogo and to major financial institutions…thus OL refused to provide the required audit confirmations, which means the audit opinion could not be issued. This does not mean the SAF numbers were bad.
Supporters should trust the audit far more than they trust the Talking Heads of social media…. and you can trust the wire-by-wire intercompany accounts, and detailed investment installments, that I have just now posted on my website… these numbers, and some fun new J.P. audio recordings, can be found in a long article about the treachery of JPML, during his rise to the throne!
Thiago, if you paid for your law degree, you should ask for a refund.

Happy to see the Apprentice is learning… internationalization comes from beating the best team in the world at the Club World Cup, walking the Red Carpet among the top clubs of the world at the ballon d’Or, and building facilities that set the foundation for future success. So, apprentice, you are talking about my plan, but what’s your plan?
If the rule of law matters in Brazil, this theft will never happen. If BFR social, or the Botafoguenses, ever expect to be respected again in the capital markets, this will never happen. I am still the owner of the 90% interest, as all material terms of our investment agreement were honored…and we did deliver Botafogo’s best year in 120 years, much more than promised. I expect this shameful chapter in the history of our club will be over soon, and will be chasing titles again.
Anatomy of Theft: How does a 10% local shareholder steal a company from a 90% foreign investor, with an endorsement from the judiciary?
1. Hire Salomão, Fux and Basílio Advogados in Rio de Janeiro.
2. Unilaterally declare that you are the 51% majority shareholder.
3. Ask a local judge to suspend (block) the voting rights of the 90% foreign shareholder, just days before a landmark vote.
4. Call for a Shareholder vote, knowing that you are the only party allowed to vote.
5. Vote to steal your partner’s interests.
6. Rest easy because Salomão, Fux and Basílio are above the law.
7. Then tell your Social Club friends at other Brazilian clubs to rest easy, because they will never again be bothered by foreign investors choosing to invest in Brazil.
The lesson, if this behavior holds: Local interests prevail in Rio, if you hire the right law firms…the local partner that invites you to invest can find a judge, block your vote, then vote to destroy your interests…and if you open your mouth, or so much as hire a lawyer and make honest filings to defend your rights, a local judge will punish you with heavy fines.
Judicial tyranny and intimidation happens in very few places in the world, and I am profoundly upset to learn that it happens in Rio de Janeiro, where I was so proud to have become an honorary citizen.
Justice Torres, I feel confident that you will come to regret the decisions you made today. Whether you were misled by my former friends and lawyers, or whether you didn’t understand our case because the courthouse loitering privileges of Salomão, Fux and Basílio meant that you only heard one side, I would ask you to consider the greater impacts of your decision. It is never too late to make the right decision.
I was invited to come here, invest in your beautiful country, and showcase Brazilian football for the world. What idiot would dare follow me to invest in Brazil, after today?
As you still have the right to re-consider, the SAF Law, and the future of foreign investment in your beloved country, rest on your shoulders.
You stretched the law in so many directions as if to have become an advocate for a litigant, granting an unconscionable dream scenario to a minority owner that was looking to achieve an impossible theft of the majority owners interests.
The request to block the vote of a shareholder, for no other purpose than to destroy the interests of that shareholder, would not have been granted in most civilized countries in the world…yet you made that possible today, it’s an alarming precedented that will have impacts that go far beyond football.
You still have an opportunity to stand on the right side of history…you should take it, and send a message that Brazil is still open for business.
