I will be following the $GNS VERY closely. Congrats on this filling @rogerhamilton. My Board was mostly spineless and got rid of me right before the 1st Economist/Expert internal spoofing report landed, then sat on the reports (two independent Economist reports... more on that soon) Some initial $GNS vs Market Makers thoughts, which are also valid for our MMAT/MMTLP trustee-led case: I searched for official sources regarding the scope and use of the “bona fide market making” (BFMM) exemption under Regulation SHO and found several relevant references. When you read up on the Market-Maker BFMM exemptions (which Citadel and Virtu like to hide behind... more on BFMM next) and compare Market Making in USA vs. other countries... you discover some spectacular and scary facts. To keep things simple, I will use an analogy, so bare with me please. Market makers are like #lifeguards: They have been given special rights only to SAVE swimmers, not to play water games. 🛟Real lifeguard duties (parallel to BFMM exemption): 1. Watch the pool at all times → continuous quoting 2. Respond to people on both sides of the pool → two-sided liquidity 3. Stay neutral, not pick favourites → non-directional, low-risk exposure 4. Intervene when a swimmer struggles → temporary imbalances 5. Act only for safety → customer-driven activity 6. Never-EVER create waves or splash people → no artificial volatility (NBBO manipulation) ❌ What Citadel/Virtu effectively argue: “Since lifeguards can grab swimmers, we’re allowed to pull swimmers underwater, dunk them for fun, and then claim we’re ‘fulfilling our role... if they drown, they drown... we are exempt!" 🤡 Hell No. The exemption exists to SAVE people, not to drown them for PROFIT. That's the difference between REAL market making and spoofing + directional short campaigns. NOW, if you want REAL market making, you look to: Japan, EU, UK, Singapore, Korea, and Switzerland. These are markets where a “market maker” is NOT just a label.... it is a CONTRACT, with explicit duties, quoting rules, risk caps, and exchange supervision. 🇯🇵 Japan (Tokyo Stock Exchange): One of the strictest in the world. Japan has true market-making schemes: Enforced requirements: -Continuous two-sided quoting -Max spreads -Minimum quote sizes -Maximum quote fade times -Penalties for failing obligations -Suspension and removal for violating quoting requirements Why it’s real: Market makers must demonstrate they are actually stabilizing markets, not internalizing and hiding orders. 🇪🇺 European Union (all MiFID II countries). Under MiFID II, the EU has statutory, enforceable market making obligations. Required: -Continuous quoting -Maximum spreads -Minimum presence time -Stress-period obligations -Ability to prove “liquidity provision” is not directional speculation Bonus: EU regulators track if “market makers” quote BOTH sides. If they don’t, the designation is REMOVED. 🇬🇧 United Kingdom (post-MiFID equivalent rules) London Stock Exchange (LSE) has: -“Registered Market Maker” contracts -Minimum quote sizes & % of trading day coverage -Obligations even during volatility auctions -Monitoring via LSE surveillance units Real consequence: Fail obligations → immediate sanctions or termination. 🇸🇬 Singapore (SGX), is very disciplined. SGX is known for proper, contractual market-making: -Tighter spread caps -Minimum size -Time-in-market % -No one-sided quoting allowed -Public disclosure of market makers per instrument SGX publishes compliance reports, a sign of transparency rarely seen in the U.S. 🇰🇷 South Korea (KRX) -KRX imposes strict, formula-based obligations: -Continuous quotes -Maximum spreads -Time obligations -Penalties for breaches -Fines and removal for directional manipulation KRX also BANS payment for order flow, a major U.S. conflict of interest. 🇦🇺 Australia (ASX). ASX has regulated market-making for ETFs, derivatives, and select equities: -Tight quote obligations -No “phantom liquidity” (immediate cancels) -Surveillance for odd-lot spoofing -Penalties for failing to maintain two-sided markets 🇨🇭 Switzerland (SIX Exchange). Switzerland’s system is exceptionally clean: -Contractual obligations -Real risk-taking -Exchanges match liquidity providers with issuers -No internalization of retail order flow -No PFOF -No wholesale HFT dominance Many consider SIX the “purest” equity market structure left. 🇭🇰 Hong Kong Exchange (HKEX). Very strict: -No PFOF -No wholesaler internalization -MM must be present 70–90%+ of trading hours -Tight spreads enforced -Removal for statistical deviations 🌍 Countries With “Pseudo” Market Making (Not real) 🇺🇸 United States. This is where “market making” is marketed, not enforced. 🇨🇦 Canada is not too far behind either😢 #Wholesalers like Citadel/Virtu: -No continuous quoting obligations -No maximum spreads -No minimum quote durations -No duty to remain two-sided -Can internalize 40–60% of retail flow -Can operate dark -Face almost no penalties for abandoning markets -Use Reg SHO exemptions designed for real market makers Conclusion: The U.S. has ZERO real, contractual market makers in equities. Citadel/Virtu are WHOLESALERS with exemptions, nothing more. 🛟 Real Lifeguard’s job: Jump in only when someone is drowning (liquidity imbalance). ❌ Citadel/Virtu: -Doing laps all day -Shoving swimmers underwater -Taking people’s towels and valuables while they’re distracted -Claiming immunity because “I’m a lifeguard” If you want “fake market making” directional shorting + internalization + exemptions, you get: Citadel & Virtu. #Bitcoin at least has neutral settlement: 1. No one controls it. 2. No one internalizes your flows. 3. No one sells your order flow to a high-speed predator. Bitcoin is a 🏖️beach with no lifeguards at all, but at least it doesn’t lie to you about who controls the water 🌊 Ironically, Bitcoin has MORE integrity in its settlement layer than the U.S. stock market. Crypto exchanges... that's a different story (for now). HOPE😇: I believe that the U.S. WILL fix its market structure... but only because it will eventually have no choice. Bigger forces are converging: 1. Bitcoin proves settlement can be transparent 2. EU & Asia prove market makers can be obligated 3. Retail now understands the game 4. Congress is finally poking holes in the DTCC shell 5. Lawsuits like $GNS & others (expected) expose the cracks Very soon, Artificial Intelligence will make monitoring and forensic analysis both easy and FUN... and I dream of the day that Issuers and Retail (not just the regulators) have that kind of power, and I will support making this happen.
Latest $GNS news - Genius Group Limited (NYSE American: GNS) (“Genius Group” or the “Company”), a leading AI-powered, Bitcoin-first education group, today announced it has filed a Class Action Complaint in the United States District Court for the Southern District of New York alleging that Citadel Securities LLC, and Virtu Americas LLC (the "Defendants") engaged in a long-running market manipulation scheme that includes spoofing and naked short selling of the Company’s shares and related acts in violation of Section 10(b), Sections 9(a)(2) and 9(e) and Section 20(a) of the Securities Exchange Act of 1934. The Company believes the lawsuit sets a number of precedents with regards to the protection of shareholder interests and the Company. As such, the Company is taking action to recover damages caused due to alleged market manipulation: > This lawsuit is a Class Action Complaint filed on behalf of the Company and ALL of its investors who sold Genius Group stock at artificially deflated prices as a result of Defendants’ alleged abuses. > Pursuing a class action will help the Company facilitate a recovery not just for Genius Group’s losses, but for all its harmed shareholders as well. > The Company will ask the Court to appoint it “lead plaintiff” in the class action, so that the Company can effectively manage the litigation and diligently work to protect its shareholders’ interests.
The class action complaint filed today that Defendants engaged in longstanding and widespread manipulative trading scheme centered on repeatedly “spoofing” Genius Group stock. “Spoofing” is a manipulative and illegal trading practice that involves submitting and then cancelling buy or sell orders without any genuine intent to execute them. The purpose of these “baiting orders” is to mislead other market participants about the level of supply and/or demand for a security, or about the degree of price volatility associated with a security, and thereby influence market prices for that security. The complaint alleges that for a period of at least three years – between April 12, 2022 and May 30, 2025 (the “Class Period”) – Defendants repeatedly entered thousands of spoofing trades designed to create the false impression that there was both excess supply and excess volatility in Genius stock. The Company has confirmed that the lawsuit seeks at least the previously reported no less than $250 million in damages (The Company believes actual damages to be far greater) These manipulative orders were calculated to (and successfully did) deceive or induce other investors to sell their holdings at artificially deflated prices. In particular, the complaint alleges: >> On 98% of all trading days during the Class Period, Defendants repeatedly entered spoofing trades designed to manipulate the price of Genius stock. Defendants entered dozens – sometimes thousands – of such trades on a given trading day, canceling them within milliseconds of placement. >> Defendants repeatedly built massive short positions through off-exchange trading over a few trading days, and then bombarded the market with spoofing trades (baiting orders canceled within 100 milliseconds of placement) causing significant declines in the price of Genius Group stock. >> Less than a minute after these baiting orders were placed, Defendants sold significant volumes of Genius stock shortthrough off-exchange trading. >> Defendants also engaged in significant naked short-selling, i.e., improper short sales that are unsupported by existing market inventory. Indeed, major declines in Genius Group stock were also accompanied by large spikes in evidence of such activity. In filing this class action, Genius Group is demonstrating its commitment to its shareholders and the Company intends to work diligently to protect their interests. What if 🧐 McCabe only gets more funding out of the S-1. Will the NEW @SECGov and @FinancialCmte have a digital-blockchain soon enough to (safely) IPO back to the market?🤔 That would allow all of retail to porchase plus force to close but at a lower entry. Insane possibilities.

How cynical was the government shutdown really? @SenMullin absolutely TORCHES Senate Democrats: "It was all about politics for them ... What this was is about making sure their base was ginned up for the No Kings Rally. "They knew November elections were coming. They said, 'We can't reopen.' Chuck Schumer said that he'll release the handcuffs once the Tuesday election is over because they were afraid their base wouldn't show up to vote if they did it." How well @FINRA protects members and it’s own assets. Right down to the lies and deception.
$MMTLP Another 🧵in response to the November 6th, 2023, FINRA MMTLP Supplemental FAQ attempting to explain their actions regarding the corporate actions and trading halt. finra.org/investors/insights… FUN FACT: @FINRA has used the "Investor Insights" content section of FINRA.org to provide educational tools catered to retail investors for 8 years. Guess how many "articles" have ever been centered around a single ticker? TWO and both were addressing #MMTLP. Ticker based FAQ's from FINRA are even more rare than a U3 Halt. Link to prior #FINRAfraud FAQ rebuttal: xitter.cf/bleedblue18/status/163… While FINRA attempts to cast blame on the issuer and their corporate action, what they fail to address, or intentionally ignore, is the issuer’s Corporate Action was submitted with ample time for an exhaustive review, and then rewritten by FINRA at the eleventh hour; an action FINRA declares they lack authority to do in their various communications and publications. Conveniently absent from all of FINRA’s FAQ’s, the corporate action’s instructions were so confusing to the impacted parties (including, among others, the DTCC), FINRA failed to appear at a scheduled meeting meant to provide guidance and clarity to those parties. Coincidentally, FINRA took these actions knowing there was possible fraudulent activity in the trading of MMTLP, as evidenced by their email correspondences with the Securities and Exchange Commission (SEC) beginning in late November 2021 through the morning of December 5, 2022 when they reviewed of the Electronic Blue Sheets (EBS) – none of which they have publicly admitted to as of yet in any of their FAQ’s. FINRA continues to receive questions regarding the circumstances surrounding these events because of the lack of real transparency with both the investing community and the multitude of Congressional inquiries to FINRA and directly to SEC Chair Gary Gensler. Instead, FINRA elicits more suspicion by the complete lack of transparency, misdirection of the core issue of the MMTLP situation (were investors defrauded with counterfeit shares), and finally, their refusal to provide a certified audited share count of the 105 broker/dealers holding open short and long positions in MMTLP, something recently ordered, in an unrelated case, by a federal judge in In Re Sorrento Therapeutics, Inc. From the outset, FINRA attempts to disparage the grassroots retail community that evolved out of the MMTLP situation’s central issue and feigns a lack knowledge of what is meant by the term “counterfeit shares.” Rather they describe the situation using the more innocuous industry term “naked short selling” as if to imply the selling of US Securities without having a proper locate somehow legitimizes the actions of market participants and magically makes the practice legal and viewed as normal market mechanics. It doesn’t. 🤨 Investors’ concerns are further legitimized as broker/dealers (FINRA’s members) have made attempts by shareholders of MMTLP to transfer their shares to Next Bridge Hydrocarbon’s transfer agent confusing and prohibitive with untruths, conflicting instructions, exorbitant fees, and excessive timelines, with many even refusing to transfer the shares at all. More egregious are documented occurrences of FINRA’s member firms terminating customer relationships and closing accounts of shareholders requesting transfer of their MMTLP shares to the issuer’s transfer agent, a process that enables their shares to be directly registered in the shareholder’s name, in book entry, with the stock issuer. This is particularly ironic given the SEC’s recent publication outlining the benefits of direct registration of US Securities. The following response provides a rebuttal to FINRA’s FAQ and calls on them to definitely address the questions posed to them by MMTLP investors and Congressional Representatives.

Good morning @SECPaulSAtkins, Thanks for taking the time to sit down with @cvpayne yesterday! In your interview you spoke briefly about rules and their importance, but in just four images I can show you how the rules (uniform practice) were circumvented at the expense of $MMTLP investors. Image 1 contains 4 'Exchanged" Event Type Corporate Actions from FINRA's Daily List, both before and after MMTLP, and also including the initial December 6th MMTLP Corporate Action. Observe that the term "Effective" is tied to the main purpose of each Corporate Action, and the date linked to that "Event" is aligned with the overall "Effective Date" of the Corporate Action. The MMTLP Corporate Action in the first image (bottom right corner) is similar to the others because the term "Effective" is linked to "Share Cancellation" occurring on December 13th, and this was aligned with the overall zero hour December 13th "Effective Date" at the top of the Corporate Action. The problem with this is that December 13th wasn't the correct Share Cancellation Date! Image 2 contains the Next Bridge Hydrocarbons Prospectus dated November 18, 2022. Image 3 contains a PR from Metamaterials dated November 23, 2022. Both of these sources publicly disclosed that the MMTLP "Spin-off/Exchange" (AKA the Event) would occur on December 14th, after the close of business, and that "Share Cancellation" would also occur at that time. The Prospectus and the PR are referenced by FINRA in their March 16, 2023 FAQ as if they were used to create the Corporate Actions "consistent" with this information. This was false! Image 4 contains the December 8, 2022 MMTLP Corporate Action that was unilaterally revised by FINRA. Above the Corporate Action I included an excerpt from FINRA that describes each section of a "Deletion" Event Type Corporate Action. When you observe FINRA's December 8th Corporate Action, it was clearly focused on the "DELETION" of the MMTLP Trading Symbol "Effective" the zero hour of December 13th, which was 40 hours BEFORE the actual "Exchange" event that the Corporate Action was supposed to be focused on. Going back to image 1 you can see that FINRA knew exactly how to make an "Exchanged" Event Type Corporate Action before and after MMTLP, and they didn't need to include "Symbol Deletion", nor did they need to include any clarity on who's role it was to "Cancel Shares". So when you consider the fact that FINRA created TWO MMTLP Corporate Actions, why didn't they include the correct December 14th, after the close of business Share Cancellation Date? Why isn't December 14th included at all in the revised December 8th Corporate Action? It's because FINRA hijacked the process! The December 8th revision is labeled an "Exchanged" Event Type Corporate Action but it was a "DELETION" just as image 4 clearly shows. Given that the main goal of SEA Rule 10b-17 is to prevent deception by ensuring timely and complete notice, a Corporate Action that obscures the finality of the cancellation could be argued to be deficient under the rule's mandate. I have no doubt that FINRA has the authority to do what they claim is in the best interest of investor protection and market integrity, but "Deletion" is the consequence of the cancellation. This is why the terms are used so interchangeably. FINRA wasn't supposed to prioritize "DELETING" the Trading Symbol before "Share Cancellation". The proof of this is in the examples in image 1, and the fact that you can't find any examples that show otherwise! This post proves that FINRA's FAQ's and Robert W. Cook's response to @RepRalphNorman and the 70+ members of Congress were disingenuous. The video 🎥 in the post below explains this in further detail.
