3/ HOWEVER
These shares were issued to qualified institutional buyers or accredited investors AND
They were unregistered at time of issuance. This means that in order for them to be sold “publicly” holders must still file a Form 144.
2/ As per the Early Settlement filing EX-99, these “newly” issued shares became part of an unrestricted CUSIP allowing for them to be traded freely…
