The House of Birla has enjoyed enormous public respect and trust for generations. Its present torchbearer, @AdityaBirlaGrp , carries a legacy built not merely on wealth, but on integrity, fairness and ethical business practices. That is precisely why the treatment of ordinary shareholders of #Vodafone #Idea raises some deeply uncomfortable questions. 1. Different terms for promoters and public shareholders The public subscribed to #Vodafone #Idea’s FPO at ₹11 per share nearly two years ago. Yet the promoters have taken optionally convertible instruments at an effective conversion price of ₹11 per share, with only ₹2.75 payable upfront and conversion after approximately 18 months. If these terms are correctly understood, why should ordinary shareholders have committed the entire ₹11 upfront while promoters enjoy the financial advantage of deferred payment? Even ignoring market risk, the time value of money alone could represent a 15–20% disadvantage to public shareholders. Is this equitable treatment of shareholders, or are promoters have been given preferential financial terms at the expense of those who trusted the company? 2. Government equity and AGR relief — where is the transparency? The Government of India was allotted Vodafone Idea equity at ₹10 per share against outstanding dues, including interest. Now that substantial relief and restructuring of government dues have reportedly been granted, an important question arises: If the underlying liabilities have been reduced, should the corresponding equity previously issued against those liabilities also be reconsidered, adjusted or at least transparently explained? Why has Vodafone Idea not provided shareholders with a comprehensive reconciliation of the original dues, subsequent relief, equity issued and resulting economic benefit? 3. Why does the market continue to value Vodafone Idea so poorly? When the cumulative financial relief granted through government decisions and judicial interventions is reportedly greater than the company’s current market capitalisation, why does the market continue to assign such a depressed valuation? Is the market discounting continuing operational weakness, future dilution and funding requirements? Or are there other factors that shareholders deserve to understand? The possibility of future changes in shareholding involving the Government of India, @VodafoneUK or minority shareholders makes transparency even more essential. 4. Is minority shareholder confidence being sacrificed? One cannot simply allege share-price manipulation without evidence. But persistent undervaluation, unequal financing terms and inadequate disclosure inevitably raise questions about governance and the protection of minority shareholders. The management and promoters owe investors clear, numerical and verifiable answers. @ananya_birla every daughter has a unique relationship with her father, and every generation inherits a responsibility to protect its family’s reputation. Your forefathers built the Birla name on values that commanded respect across India. Perhaps you could remind your father that a family’s reputation, earned over generations, is worth far more than any financial advantage obtained through a corporate transaction. Mr. Kumar Mangalam Birla, ordinary shareholders are not asking for favours. They are asking for fairness, transparency, equal treatment and accountability. The Birla legacy deserves nothing less.
