When $GME issued a VWAP window on March 27th of 2025 explained bellow:
$GME Some people still believe that a crime took place on the 27th of March so I’m going to explain what’s the VWAP period is and what happened exactly:
VWAP stands for Volume Weighted Average Price.
1. When GameStop sold the $1.3B in convertible bonds, they had to decide at which price should they set the terms of conversion.
2. They picked a 3 hour window: from 1PM to 4PM on March 27 to structure this deal.
Then they took the VWAP during that time which came out to be $21.71 and set the terms.
3. How’s that happening?
These bonds were sold to hedge funds, mostly convertible arbitrage desks, so that needed to be attractive for them.
They all agreed to use a VWAP window, this 3–4 hour block we just explained, to finalize the pricing.
So technically, GameStop set the terms, but they do it based on the VWAP during that period, cause that’s when hedge funds are actively shorting the stock to hedge. ✔️
4. Now moving forward
Then Gamestop said, we’ll give bondholders the option to convert into shares at around $29.85 that’s about 37.5% at a higher premium than the VWAP we just calculated..
So VWAP was the baseline used to give bondholders a premium, and that premium is what defines the conversion price..
5. So GameStop literally set the conversion price, but it’s based on a VWAP window that’s agreed on during the offering, so hedge funds can price their delta neutral short hedge around it..
6. Which means, they all agreed to use this. VWAP window, our board knew what was coming, hence the Larry tweet “Hedge Funds hedge..”
Think of it as GameStop + hedge funds + bankers all playing football together, and VWAP is the field they all agree to play the game on. 🤝
They all worked together on that deal.

Hi Elixir friends,
After 3 years building Hologram full-time (transpiles pure Elixir to JS, bringing it to the browser), I'm at a crossroads.
Working 60+ hr weeks balancing contracts & dev isn't sustainable.

🇪🇺 More great news from Europe 😊
Gradually, then suddenly. Nothing changed for 2 years and now a lot of things are finally changing:
The Netherlands is changing its stock options tax to be modeled after the American system, which is the default in startups
(!) Stock options will now be taxed when sold, not when exercised (!)
This was #7 most voted idea on euacc.com to save Europe and now it's happening!
Right now in most of Europe, stock options are taxed when exercised
This creates very problematic situations: imagine you have stock options for a startup you worked for. Many/most startups have a clause that says "you must exercise your vested options within 90 days after leaving, or you lose them". So you exercise them, which in Europe means paying tax on their value immediately, that's regardless if you actually made money on them!
So you could exercise your stock options when the price is $100, and let's say you have 10,000 stocks, so that's 10,000 * $100 = $1,000,000 in value at the time of exercising. Let's say you pay 50% tax on that, so you pay $500,000 in tax
Where do you get that $500,000 from in the first place? Remember you now exercised your stock option but you haven't sold it yet. So you're still a broke startup guy. Often you'd loan the money from the bank.
And then you could just sell the stock immediately right? No wait...you can only sell your stock that you just exercised during a liquidity event. That means when the company is acquired, or IPOs, or a secondary sale happens (you can sell your stock to other investors)
So that means the wait can be forever, while you already paid tax on your options, now you pay back that $500,000 loan over many years
But startups are risky, we know that. What if the stock price crashes from $100 to $10? Doesn't matter. You already paid $500,000 on the exercised stock. But now you only make 10,000 * $10 = $100,000 instead of $1,000,000!
So now you got a $500,000 loan, paid $500,000 in tax with that loan, only made back $100,000, and now have to pay back this loan with what money? Exactly. You can't and you lost at least $400,000! And that's without the interest of the loan!
You just lost a lot of money by being European and working for a startup!
Crazy right? But that's the reality in most of the EU (including Germany, Spain, etc).
With the new Netherlands law, that finally changes. And that makes working for European startups much more attractive for the top-tier talent. Because startups in the beginning are lean and can't pay a high salary but they can pay in stock in their company easily.
The Netherlands also reduces the tax rate of stock options to something more similar to the US: from 49.5% to 32.17%
The new ruling only applies to employees at a startup or scale-up
The amendment to the Netherlands Income Tax Act is expected to come into effect on January 1, 2027 (in ~1 year)

I have a single friend in his late 30s right now. Mega-millionaire. Doing whatever he wants. He's happy! He always asks me "where are you going next" and I always respond "nowhere, I just want to be home with my kid." And he looks at me like I'm CRAZY. He tries to empathize, but can't.
I used to be him. There's nothing wrong with being him. I'm happy for him. But kids rebalance your life to realizing that nothing matters more than them. Like nothing even comes close to mattering. Everything else becomes noise.
And I didn't get it either. So I don't expect other people without kids to get it either. And that's fine. I'm not judging you. Even when I decided to have kids, I didn't (couldn't!) know what to expect. I wasn't particularly excited, honestly.
But holy shit does that change once they come. I look at my life in bewilderment almost every week thinking how my 20s self would've hated this, and yet this is the best my life has ever been.
My kid is sleeping right now and I'm just counting down the minutes for her to wake up so we can hang out. That's all I want.

I had a funny convo last week with the global practice head for board searches at a top exec search firm. They do ~400 public co board searches a year.
I told him how at GameStop, none of the board members or CEO are paid cash or equity.
He said, "So you grant options?"
I said, "No, the stock board members and the CEO get come from purchasing stock just like any other shareholder."
He said, "So you grant restricted stock units?"
I said, "No, we don't grant any equity and don't pay any cash. We believe this aligns our interest with shareholders."
He said, "What?!"
Out of the thousands of public co board searches his firm had done, they had never done one with no cash or equity comp - it blew his mind.
To my knowledge, only Berkshire Hathaway and GameStop have no comp for the board. If there are others, let me know.
This comp structure should be more common as it really does foster alignment with shareholders.
