$SRXH Stockholder of SRX Global Inc. September 10, 2026 Via Email SRX Global Inc. Attn: Board of Directors, Chief Executive Officer, and Corporate Secretary 801 US Highway 1 North Palm Beach, Florida 33408 Investor Relations KCSA Strategic Communications Attn: Valter Pinto, Managing Director [email protected] Re: Request that SRX Global Inc. promptly notice and hold its 2026 Annual Meeting of Stockholders for the election of directors Ladies and Gentlemen: I am a stockholder of SRX Global Inc. (the “Company”). I am writing to request that the Company promptly notice and hold its 2026 annual meeting of stockholders so that all stockholders may vote on the election of directors. I have consulted Delaware counsel regarding the Company’s obligation under Section 211 of the Delaware General Corporation Law. This letter states my position as a stockholder. It is not a legal opinion and is not a solicitation of proxies. 1.  Last annual meeting
The Company’s Form 10-K filed in December 2025 states that the last annual meeting of shareholders was held on December 18, 2024 and that the next annual meeting had not then taken place. Directors were described as elected at the annual meeting to serve for one year or until successors are elected and qualify. 2.  The December 2025 written consent did not give every stockholder a vote
On or about December 17, 2025, the Company reported that holders of approximately 45.42% of outstanding voting power approved certain matters by written consent, including the naming of Simon Conway, Michael Young, Joshua A. Epstein, and Sammy Dorf as directors, to terms expiring at the “2026 annual meeting of shareholders.” A written consent by a portion of the vote is not an annual meeting. Stockholders who did not execute that consent had no opportunity to vote for directors in an open meeting. The Company’s own 8-K language assumes a 2026 annual meeting will occur. 3.  Section 228 and Section 211 are different
I do not dispute that DGCL § 228 may permit stockholders to approve certain corporate actions without a meeting. That is not the question. DGCL § 211(b) requires an annual meeting for the election of directors unless directors are elected by written consent in lieu of an annual meeting as that subsection permits. If the consent is less than unanimous, it may substitute for an annual meeting only if all directorships that could be elected at an annual meeting then held are vacant and are filled by the consent. The December 2025 consent was not unanimous. The Company’s Form 10-K filed shortly before the consent identified the same four individuals as directors already serving. A non-unanimous consent that names sitting directors does not meet the special conditions in § 211(b) for replacing the annual meeting. 4.  The meeting is overdue
Under DGCL § 211(c), if no annual meeting is held, and no qualifying written-consent election occurs, for 13 months after the last annual meeting, any stockholder or director may apply to the Delaware Court of Chancery for an order that a meeting be held. Thirteen months after December 18, 2024 ran in approximately January 2026. The Delaware Court of Chancery applied this distinction in Wright v. Silver Creek Pharmaceuticals, Inc., C.A. No. 2023-1044-LWW (Del. Ch. Mar. 27, 2024). Sufficient voting power for a § 228 consent does not mean the consent replaces the annual meeting under § 211. Request I respectfully request that the Board and management: (a) confirm in writing the date on which the Company will notice and hold the 2026 annual meeting of stockholders for the election of directors; (b) provide all stockholders a full opportunity to vote at that meeting; and (c) respond to this letter within fourteen (14) days of receipt. If the Company does not promptly notice and hold the meeting, I reserve all rights available to a stockholder under 8 Del. C. § 211(c) and other applicable law, including the right to seek an order from the Court of Chancery.

SRXH Retail ownership update: 8.9% and climbing. If you haven’t already DM’d me your position, please do so. We’re getting close. As I stated previously, I remain fully aligned with Eric Jackson and understand that the structure of the EMJX transaction was designed to navigate legitimate legal considerations. That context is important. (Eric also bought on the open market pre-merger.) However, this does not change the current reality: Current leadership has gone silent and has not demonstrated alignment with retail through open-market purchases. I have received responses from IR in the past. Since I began pressing the issue of insider buying, those responses have stopped. Some claim executives are barred from buying. I call BS — particularly in the absence of any clear confirmation from IR. Leadership being addressed: Executive Team • Kent Cunningham, Chief Executive Officer • Nina Martinez, Chief Financial Officer Board of Directors • Michael Young • Simon Conway • Sammy Dorf • Joshua A. Epstein Get on board. Retail is watching. We are coming for you. $SRXH cc: @ericjackson @SammyDorf @KentCunningham

$SRXH Disclaimer: I own the stock and I’m still (mildly) bullish. This isn’t a recommendation to buy or pump it (or dump it) just some discussion points that I’m sure all existing holders would agree on. The company is currently trading way below its reported NAV. A small discount happens, but this large? Rarely. Infact, it’s one of the biggest discount stocks out there. There’s a few reasons from my perspective, but the main one most agree on; management. And this is an easy fix. It’s not like the fundamentals of the Gen2 are flawed, it’s working per the back and stress testing and they need to switch it on. But the main concerns are that - - Nobody trusts them. They lied on the deal. Yes M&A are fluid and dynamic but EJ knew and kept on pumping it. - Diluted to oblivion to raise the cash, using retails pockets as the liquidity. - Paper traded gains with no actual real gains and unclear when they comment if they are actually taking a position, or it’s just another ‘alert’. It’s all good continually providing the model but this company has a cash burn, no time to sit around. - Too much of it is tied to Keystone. That needs deeper explanation and why the board members are possibly signatories on Keystone LLC’s. -No insider buying (as of yet). EJ claimed to do prior to the RS. - Tbf to EJ he has mentioned SRXH when he can recently, atleast he’s doing his part. A business saying they have no debt and have a ton of cash on hand would see a stock rally at-least close to its NAV (like it did a month or so ago until they mentioned ‘paper gains’), but it struggles to hold the $1.90 range when this is a huge positive. Of course shorts are attacking it to hell and back, EJ is disliked widely by some who I wont name, but we all know who. They need to get rid of HALO and fast, it’s bleeding cash. They need to trim the board, and trim the current ExCo for anyone who isn’t buying into the business with their own cash. Just take 10% of their salary each month and buy market price stock to show they believe in it as I bet a couple of them just want a free lunch. They don’t want to do it? Then get out. You’ve got over $1.5M a year in salaries for people poorly managing a loss making dog food company for years and now given a golden ticket to more cash. If there is no progress next quarter earnings and HALO is still bleeding cash then shareholders need to push for a vote to get the dead weight out. Kent is possibly the worst public CEO out there. No socials, no PR, no interviews on big financial news channels. A ghost in modern day management who’s just draining a company of cash. Get the Kunty Kuntingham out

Haven’t been able to post since March. Got shadowbanned after posting non-stop about $SRXH. Finally back. I was an early investor mid-January and never sold a single share. Still here because I believe in EJ’s treasury vision. Yes Kent Cunningham — you’ve been brought in to trim the fat off Halo and from the earnings call you’re doing a solid job. Retail isn’t stupid though. We see the no-debt balance sheet, the huge cash position, and the investments. But let’s be real… the dilution machine is what made a lot of this possible. Same boat means your hard-earned money too. Not equity-based free shares. Not RSUs. Not stock awards. Actual open-market buys with your own cash — just like the rest of us. I know @ericjackson bought on the open market. What about the rest of you? @ericjackson @SammyDorf Please forward this to the full board (Kent Cunningham, Michael Young, Simon Conway, Joshua Epstein). Put your money where your mouth is and earn Retail following and Trust.

$SRXH I’m a long term holder, and like many of you holding this, I’m in the red as well. Since the merger closed, I’ve been looking forward to this 10-Q to see where things actually stand. And personally, I’m happy with what came out. If you can look at this neutrally, the balance sheet is the clearest positive in the filing. For a company that just went through a major acquisition and a reverse split in June 2026, ending the quarter with this level of liquidity and no debt is meaningful. Yes, the company is still losing money. That is not in dispute. What the numbers show is that the losses are moving in the right direction while revenue is growing. Halo, the pet products business, also posted better operational metrics, including fill rates reaching 98% in June. Anyone expecting a fully developed track record of capital deployment in two months was always going to be disappointed. The important question is whether that improvement continues. For now, the filing clearly removes some of the more immediate risks and some of the FUD that was previously spreading. It’s early, but cleaner than many would have expected at this stage. To those who can see past the noise. You decide where this is heading. But don’t say the path isn’t starting to form. #RisingDynasty #OpenArmy #EMJX
$SRXH The 10-Q just confirmed what many of us were waiting for (Official Form 10-Q for the quarter ended June 30, 2026 is now live on EDGAR). Quick Summary of the Numbers That Matter; 🔺Balance Sheet (as of June 30, 2026) ✅Cash + restricted cash: $36.7 million ✅Current assets: $65.2 million ✅Total liabilities: only $2.4 million ✅Debt: Zero ✅NAV: $62.9 million → $3.22 per share (higher than the preliminary $3.07 estimate) 🔺Operating Performance ✅Revenue up 27% year-over-year to $3.4 million ✅Operating loss improved 63% YoY ✅Net loss from continuing operations improved 40% YoY and 35% quarter-over-quarter ✅Adjusted EBITDA loss improved 35% YoY to $1.6 million ✅Halo fill rates hit 98% in June + record Prime Day performance 🚀Why This Is Bullish. This is the cleanest post-merger snapshot we’ve seen so far. 1️⃣Fortress balance sheet
No debt. Substantial cash. Real flexibility. Most microcaps that go through reverse mergers and strategic pivots come out diluted and cash-strapped. SRXH came out with dry powder and a clean slate. 2️⃣NAV is real and higher than guided
$3.22 per share on a post-split basis. The market is still pricing the stock at a meaningful discount to that number. That gap is the opportunity if execution continues. 3️⃣Operating trends are moving in the right direction
Revenue growing. Losses narrowing meaningfully. Halo operations stabilizing. This is not a company that is bleeding faster. It is stabilizing and improving. 4️⃣Capital return signals
Dividend already funded. Buyback authorized and available. Management is showing they are willing to return capital while they build. 👉This 10-Q removes a lot of the “will they even have a clean balance sheet?” risk. The company now has the structure, the liquidity, and early signs of operational improvement. The long-term bull case is straightforward: • Keep the balance sheet clean • Continue narrowing losses • Deploy capital productively under the EMJX framework • Let the discount to NAV close as results compound The foundation that was just reported in the 10-Q is significantly stronger than what most expected at this stage. 💰The stock is currently clearly undervalued, while the company just reported $3.22 NAV per share. That is a clear discount to cash, a clear discount to NAV, and a clear discount to the progress already shown. ⭐️The foundation is stronger than the market is pricing. This is a #RisingDynasty in the making. Official 10-Q filing: sec.gov/ix?doc=/Archives/edg… #EMJX #OpenArmy #RisingDynasty

❗️BREAKING for $SRXH❗️ Two moves in 24 hours that show the post-merger platform is active: 1️⃣Today, 04 August. SRX Global just acquired a stake in Vistagen Therapeutics (NASDAQ: VTGN) — a late clinical-stage biopharma developing nose-to-brain pherine therapies for anxiety, depression, and women’s health. Management called the shares undervalued and said they welcome constructive engagement with Vistagen’s leadership and board to unlock value. 2️⃣Yesterday, 03 August. Portfolio company Smartkem (NASDAQ: SMTK) — where SRXH already owns 4.99% common + convertible preferred — announced a definitive all-stock merger with Ferrox Critical Minerals, valuing Ferrox at $125 million. The deal turns Smartkem into a vertically integrated advanced materials + critical minerals play (Tivani project, South Africa). 🚀How this affects $SRXH ✅Zero dilution to SRXH shareholders from either announcement. ✅Confirms the Gen2 capital-allocation engine is running: new biotech position + existing materials stake now sitting on a potentially larger combined entity. ✅Adds another high-conviction operating company to the portfolio alongside the existing investments (Jersey Mike’s IPO, Greenland Mines/GRML, etc.). $SRXH #EMJX #OpenArmy #RisingDynasty Links: Vistagen stake PR: srxglobalinc.com/news-events… Smartkem-Ferrox merger (portfolio company): ir.smartkem.com/news-events/…
