Everyone knows the Stanford search fund study (traditional) and the SIG study (self-funded), but Live Oak’s March 2022 survey of 49 of their self-funded customer CEOs kinda flew under the radar. Undeservedly so. A few cool nuggets:
- 30% of searchers found their deal within 6 months, another 30% within 12 months (for reference, SIG study had 21% and 32% for these buckets, respectively)
- Only 10% of deals sourced through proprietary channels (SIG study shows 25%, which includes 400 bps from network warm intros)
- 55% of searchers had no third-party investors (38% in SIG study)
- Notably, 75% of searchers experienced a positive revenue CAGR since close, with 51% (of all respondents) seeing 10%+ growth (impressive)
Does this sample suffer some selection / survivorship bias? Probably, since Live Oak is known to have among the toughest underwriting standards, and searchers were by definition successful. Was early 2022 a good part of the economic cycle? Yes, definitely. Small sample size? Yes.
But still, found these data points directionally helpful.

Put me in the grumpy grandpa category, but I see a couple worrying trends here:
1) Everyone wants to buy an SMB, but no one wants to actually run one.
2) Some "service providers" seem to care more about getting your deal done (and a commission) than whether it SHOULD get done.

I founded the SMB Fund to help self-funded searchers using SBA loans with the down payment. This will allow searchers to buy larger businesses than they would on their own. We are looking to close our first deal in January! Signup to learn more: smb.fund

We are seeing a lot of LMM deals with concerning level of customer concentrations. The issue usually isn't the health of the customer. It's the ability of the customer to replace you, the new business owner, esp if the seller 'owns' that key customer relationship

The seller note can be used to help structure for concentrations. Clawback in note for loss of key customers. Does the deal still work if you lose the customer and can still pay yourself and the bank without paying on the seller note.

Individual customers at 20% + and/or Two or Three customers that make up 75 - 80% of total revenue will get our attention. We'll do a downside analysis around concentrations to see if the loss of the customer impacts ability to pay yourself and the bank.
