My take on the merger:
In late 2008 Elon was down to roughly $40 millionโthe last of his PayPal money. Both Tesla and SpaceX were weeks from death. He split the cash roughly in half, kept both companies alive on Christmas Eve, and has never treated one as expendable since.
That history matters for the merger talk.
SpaceX IPOโd with dual-class super-voting shares, a controlled-company structure, Texas incorporation, and tight derivative-suit rules. A shareholder lawsuit there is extremely hard to sustain. Tesla, even after its Texas move, still carries more residual exposure from its Delaware years and a lower ownership stake for Elon.
Result: the harder vote to clear is Teslaโs (50% of all shares). SpaceX minorities face higher hurdles to sue over dilution. Elon therefore has a rational incentive to give Tesla the premium needed to pass the vote. A 50/50 or even 53/47 split still leaves him with majority voting control of the combined entity. The ratio itself does not hurt him much.
Special committees of independent directors are reviewing terms on both sides. Overriding them raises process risk, but the structural asymmetry remains: SpaceX is the better-protected side. Once the companies combine under a SpaceX-style charter, the long-term lawsuit exposure drops further.
The man who once bet his last dollars equally on both companies is unlikely to engineer a deal that treats Tesla shareholders as second-class. The vote math and the governance design both point the same way: Tesla will not get an unfavorable merger ratio. Elon just wants it all under the same umbrella and power to control them all.

Elon is walking a tightrope right now, and it's not a knock on him. It's just incentives.
SpaceX holders aren't the hurdle. He has voting control there.
Tesla holders are. A merger needs 50% of ALL outstanding shares.
So SpaceX has to look like the crown jewel. But oversell Tesla and the price goes up. Undersell it and the vote gets harder.
That's why today we heard "not a certainty" and "no guarantee."

Oct 20 changed the game.
On the SpaceX Q3 earnings call, Elon announced both boards have special committees working on a potential $TSLA ๐ค $SPCX merger deal.
That raised the odds on those market caps trading in lockstep and holding the % gap.
Why the gap?
SPCX makes the offer. TSLA votes on it. Offers usually carry a โpremium.โ The most logical ask is a real 50/50 exchange ratio - even ownership of the combined company for all involved.
Mondayโs rip?
Mostly Barclays lifting the PT, not the gap resetting.
Market-cap lockstep until an official exchange ratio lands is the most likely scenario.

Trend Analysis
The last volatility hole at $300 marked the cycle bottom. From there, TSLA resumed its uptrend, with the bullish red ribbon continuing to unfold and whale accumulation now exceeding 78%.
This is why relying solely on yellow or red candles can be misleading. The bullish red ribbon carries more weight, as it reflects a sustainable mid-term uptrend rather than short-term noise.
In that context, the previously highlighted momentum bars have all flipped into support. The next one sits at $420, and TSLA will need to clear it to unlock further price momentum.

I left Tesla over two years ago, and in the background, Iโve been quietly building my research and data company, Physical AI Data (physicalaidata.com).
Whenever I looked for data on, say, robotaxi vehicle counts, ride counts, collision rates, or other data points, I realized there was no global โone-stop shopโ dataset across robotaxis, humanoids, and other physical AI industries.
So I decided to build one.
And of course, once you build a super-detailed dataset with your team, it makes sense to turn that data into research and conclusions that help physical AI companies and investors understand what to focus on and where things are heading.
At Tesla, I had the enormous privilege of spending quality time with some of the worldโs best engineers and learning directly from them. Undoubtedly, Tesla was developing physical AI before โphysical AIโ became a term. So building this platform felt like a natural next step.
In my view, physical AI, starting with robotaxis (our main focus thus far), will impact our daily lives so profoundly that it makes sense to build a platform dedicated to explaining it in plain language.
